Document Version: 2026.07 · Effective Date: 14 July 2026
Governing Law: Republic of South Africa · Registration Number: 2025/154379/07

These Terms and Conditions ("Terms") are a binding legal agreement between you ("User", "Customer", "you") and Fixit by Bond Boss, operated by BOSS GLOBAL (PTY) LTD, a private company duly registered under the laws of the Republic of South Africa under registration number 2025/154379/07, with its registered office at Shop 14, Gardens Mall, 170 Bram Fischer Drive, Randburg, Gauteng, 2194 ("Fixit by Bond Boss", "the Company", "we", "us", "our"), governing your access to and use of the Fixit by Bond Boss mobile and web application, associated websites, APIs, and related services (collectively, the "Platform"). By creating an account, completing onboarding, requesting a diagnosis or quote, booking a job, or otherwise using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms in full, you must not access or use the Platform.

1. Definitions
"Platform" means the Fixit by Bond Boss application (customer, servicer, inspector, admin and branch-admin interfaces), websites, APIs, notifications, and any related software made available by the Company. "Servicer / Contractor" means an independent contractor, tradesperson, or business registered on the Platform to perform Services, whether under a "Bond Boss-certified" or "freelancer" certification tier, or otherwise approved by the Company. "Services" means waterproofing, roofing, wall, floor, bathroom repair, surface protection, diagnostic, inspection, and related installation or remedial services offered or booked through the Platform. "Job" means a specific request for Services created by a Customer and tracked through the Platform's job lifecycle. "Site Inspector" means a Platform-appointed quality-assurance role responsible for reviewing completed or in-progress work, approving or rejecting workmanship, and requesting revisions. "Deposit" means the upfront payment (typically a percentage of the quoted Job price) required before a Job is scheduled or commenced, processed via our third-party payment gateway. "Warranty" means any product- or workmanship-related warranty issued in respect of a completed Job, subject to the specific terms, duration, and exclusions recorded for that Job. "User Content" means any photographs, descriptions, messages, ratings, signatures, or other content submitted by you through the Platform.

2. Eligibility and Account Registration
To use the Platform you must be at least 18 years old, have the legal capacity to enter into binding contracts under South African law, and provide accurate, current, and complete information during registration and onboarding. You are solely responsible for maintaining the confidentiality of your login credentials; all activity that occurs under your account; promptly notifying the Company of any unauthorised use or security breach; and keeping your contact details, property address, and phone number accurate and up to date. The Company may suspend, restrict, or terminate any account at its sole discretion where it suspects fraud, misuse, false information, abusive conduct, or a breach of these Terms.

3. Nature of the Platform — Intermediary Role Only
Fixit by Bond Boss is a technology platform that connects Customers seeking property repair, waterproofing, and surface-protection Services with independent, third-party Servicers who perform those Services. The Company is not a contractor, builder, waterproofing specialist, or tradesperson, and does not itself perform, supervise, or guarantee any Services. Each Servicer is an independent contractor and is not an employee, partner, joint venturer, franchisee, or agent of the Company. The Company does not control the manner, means, methods, materials, or techniques by which a Servicer performs a Job. Any diagnostic assessment, AI-generated recommendation, quote, price estimate, or scheduling suggestion produced within the Platform is provided for convenience only and does not constitute professional engineering, structural, or building advice.

4. Diagnosis, Quotes, and Job Booking
The Platform may allow you to submit photographs and a description of a property issue in order to receive an automated or Servicer-prepared diagnosis, quote, and price estimate. Diagnoses generated using automated or AI-assisted tools are indicative only and may not identify underlying, hidden, or latent defects. The Company does not warrant the accuracy or completeness of any diagnosis, quote, or price estimate. A Job is only confirmed once a Servicer has accepted the Job and, where a Deposit is required, that Deposit has been received in full. The Company reserves the right to cancel, reassign, or decline any Job booking at its discretion.

5. Pricing, Deposits, and Payment
Prices displayed on the Platform are estimates and may be revised following a physical site assessment. Final pricing will be confirmed in a written quote before work commences. Where a Deposit is required, you authorise the Company to process that payment via our third-party payment service provider (currently Paystack). You acknowledge that all card, bank, and payment details are collected, processed, and stored by our payment processor and its underlying banking partners, and not by the Company directly. Deposits are generally non-refundable once a Servicer has been dispatched or has incurred materials or travel costs, save as required by applicable consumer protection law. The balance of the Job price is payable on completion and QA approval, or on such other terms as recorded in the applicable quote or invoice. The Company may, where you have consented, charge a saved card for the balance due, recurring charges, or amounts arising from Job variations.

6. Cancellations, Rescheduling, and No-Access
You may request to cancel or reschedule a Job in accordance with the cancellation window communicated to you at the time of booking. Cancellations made after a Servicer has been dispatched, or within 24 hours of a scheduled appointment, may forfeit some or all of the Deposit to cover the Servicer's reasonable travel and preparation costs, at the Company's discretion. If a Servicer attends the property at the scheduled time and is unable to gain access, or the site is not ready for the agreed Services, the Company may charge a call-out or re-scheduling fee and the Deposit may not be refunded.

7. Site Inspections and Quality Assurance
Certain Jobs are subject to review by a Site Inspector before being marked as complete. Inspection outcomes (approved, rejected, or requiring revision) are recorded on the Platform together with any defects, checklist items, and photographic evidence. Where an inspection identifies a defect or requires revision, the Servicer — not the Company — remains responsible for remedying the defect at no additional charge to you, subject to the scope of the original Job. The existence of a Site Inspector role and QA process does not make the Company a guarantor, insurer, or warrantor of the underlying workmanship.

8. Warranties
Certain completed Jobs may carry a product and/or workmanship warranty, the specific duration, scope, and exclusions of which will be recorded on the applicable warranty certificate issued through the Platform. Warranties are issued and honoured primarily by the Servicer and/or the relevant product manufacturer, and any warranty claim should first be logged through the Platform for triage. Warranties do not cover: damage caused by structural movement, pre-existing defects not disclosed at diagnosis, third-party work, acts of God, misuse, lack of routine maintenance, or alterations made by any party other than the original Servicer. A warranty may be declared void where unauthorised repairs are carried out by a third party.

9. Customer Responsibilities and Site Access
You agree to provide safe, lawful, and reasonable access to the property for the Servicer and, where applicable, the Site Inspector, at the scheduled times; disclose any known hazards, structural concerns, asbestos, electrical faults, or unsafe conditions at the property prior to the Job commencing; ensure that you are the owner of the property or have the express authority of the owner to commission the Services; review and sign off on completion checklists, photographs, and, where prompted, provide an electronic signature confirming satisfactory completion; and not request, solicit, or accept any offer from a Servicer to perform work outside the Platform in circumvention of these Terms (see clause 17).

10. Prohibited Conduct
You may not use the Platform to submit false, misleading, or fraudulent information; harass, threaten, discriminate against, or behave abusively towards any Servicer, Site Inspector, or Company representative; attempt to reverse-engineer, scrape, copy, or interfere with the Platform's software, algorithms, or underlying data; circumvent or interfere with security-related features; use the Platform for any unlawful purpose; or upload content that infringes any third party's intellectual property, privacy, or other rights. Breach may result in immediate suspension or termination of your account, forfeiture of any pending Deposit, and referral to law enforcement.

11. User Content, Photos, and Signatures
By submitting photographs, descriptions, messages, ratings, or an electronic signature through the Platform, you grant the Company a non-exclusive, worldwide, royalty-free, sub-licensable licence to use, reproduce, store, and display that content for the purposes of operating the Platform, quality assurance, dispute resolution, marketing (where you have separately consented), and legal compliance. You warrant that you own or have the right to submit such content and that it does not infringe any third party's rights.

12. Ratings and Reviews
You may be invited to rate and review a completed Job and the assigned Servicer. Ratings must be honest, based on your genuine experience, and must not contain defamatory, unlawful, or abusive content. The Company reserves the right to moderate, remove, or decline to publish any rating or review at its discretion.

13. Disclaimer of Warranties
To the maximum extent permitted by law, the Platform and all content, diagnoses, quotes, and functionality made available through it are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Platform will be uninterrupted, timely, secure, or error-free. The Company does not warrant, endorse, guarantee, or assume responsibility for any Servicer, any Job, any product used, or any Service performed by a Servicer. Any reliance you place on information, diagnoses, or recommendations obtained through the Platform is strictly at your own risk.

14. Limitation of Liability
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under the Consumer Protection Act 68 of 2008 or any other applicable law, including liability for death or personal injury caused by gross negligence or wilful misconduct of the Company. Subject to the foregoing, the Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. The Company shall not be liable for any act, omission, negligence, or misconduct of any Servicer, Site Inspector, or any other third party. The Company's total aggregate liability to you shall not exceed the greater of (i) the amount you paid to the Company (excluding amounts passed through to a Servicer) for the specific Job giving rise to the claim, or (ii) ZAR 1,000. Any claim against the Company must be brought within twelve (12) months of the event giving rise to the claim.

15. Indemnification by User
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your misuse of the Platform, any false or misleading information you provide, any dispute between you and a Servicer arising from off-Platform arrangements, or your violation of any law or the rights of any third party.

16. Relationship with Servicers
Any contract for the performance of Services is formed directly between you and the relevant Servicer, facilitated by the Platform. The Company is not a party to that contract, save to the extent it processes payment as a limited payment collection agent. Any dispute regarding workmanship, delay, damage, or conduct should first be raised through the Platform's support channel so that the Company can attempt to mediate, but the Company is under no obligation to resolve, compensate for, or be a party to such disputes.

17. Non-Circumvention
You agree not to engage a Servicer introduced to you through the Platform for the same or substantially similar Services outside the Platform, for a period of twelve (12) months from your last interaction with that Servicer through the Platform, without the Company's prior written consent. Doing so deprives the Company of its facilitation fee and may result in a fee equal to the Company's standard facilitation fee becoming payable, in addition to any other remedy available at law.

18. Third-Party Services
The Platform integrates or relies upon third-party services, including but not limited to Paystack (payments), mapping and geolocation services, push-notification providers, and cloud hosting infrastructure. The Company is not responsible for the acts, omissions, availability, security, or performance of these third-party services, and your use of them may be subject to their own separate terms and privacy policies.

19. Data Privacy
The Company processes personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection, processing, and, where necessary for the performance of a Job, sharing of your personal information with the relevant Servicer, Site Inspector, and payment processor.

20. Intellectual Property
All intellectual property in the Platform, including its software, design, trademarks, logos, and content (excluding User Content), is owned by or licensed to the Company. Nothing in these Terms transfers any such intellectual property to you, and you may not copy, modify, distribute, or create derivative works from the Platform without the Company's prior written consent.

21. Suspension and Termination
The Company may suspend or terminate your access to the Platform, with or without notice, where you breach these Terms, where required by law, or where the Company reasonably believes such action is necessary to protect the Platform, other Users, or Servicers. You may close your account at any time by contacting support, subject to settlement of any outstanding amounts owed.

22. Force Majeure
The Company shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to load-shedding and power outages, network or internet outages, acts of God, fire, flood, civil unrest, strikes, governmental action, pandemic, or failure of third-party service providers.

23. Amendments to These Terms
The Company may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify you through the Platform. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.

24. Dispute Resolution and Governing Law
These Terms are governed by the laws of the Republic of South Africa. The parties will first attempt to resolve any dispute informally. If a dispute cannot be resolved informally within thirty (30) days, either party may refer the matter to mediation or arbitration in Johannesburg, Gauteng, under the rules of the Arbitration Foundation of Southern Africa (AFSA), or to the courts of South Africa having jurisdiction, at the Company's election. Nothing in this clause prevents a consumer from approaching the National Consumer Commission or a competent court where mandated by the Consumer Protection Act.

25. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. No failure or delay by the Company in exercising any right under these Terms shall operate as a waiver of that right. These Terms, together with the Privacy Policy and any applicable job-specific quote or invoice, constitute the entire agreement between you and the Company. You may not assign or transfer your rights under these Terms without the Company's prior written consent; the Company may assign these Terms in connection with a merger, acquisition, or sale of assets.
